Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of CASCADE, a sales intelligence platform operated by FBED Labs Ltd ("FBED Labs," "we," "our," or "us"), accessible at cascadeintelligence.ai and through third-party integrations including Anthropic's Model Context Protocol (MCP).

By creating an account, connecting CASCADE through an MCP client, or otherwise using the platform, you agree to be bound by these Terms. If you are using CASCADE on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use CASCADE.

2. Definitions

"CASCADE" means the sales intelligence platform, including all web interfaces, APIs, MCP server endpoints, and Shannon (the AI coaching layer) operated by FBED Labs.

"Client" means the organization that subscribes to CASCADE and on whose behalf authorized users access the platform.

"Authorized User" means any individual granted access to CASCADE by the Client, including through MCP integrations.

"Shannon" means CASCADE's AI coaching and intelligence engine.

"MCP" means the Model Context Protocol, an open standard for connecting AI systems with external tools and data sources.

"Intelligence Data" means all scores, analyses, calibration outputs, coaching recommendations, delta trajectories, decay vectors, and other derived intelligence produced by CASCADE from Client Data.

"Client Data" means all data uploaded, submitted, or generated by the Client or its Authorized Users.

"Network Intelligence" means anonymized, aggregated statistical patterns derived from multiple Clients' outcome data, from which no individual Client or deal can be identified.

3. Account Registration and Access

3.1 Eligibility

CASCADE is a B2B platform intended for use by businesses and their authorized representatives. You must be at least 18 years of age to create an account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us promptly at security@cascadeintelligence.ai if you become aware of unauthorized access. We are not liable for losses arising from unauthorized use of your credentials where you have failed to maintain their security.

3.3 Authorized Users

The Client is responsible for all activity conducted by its Authorized Users. Access permissions are managed through CASCADE's role-based access control system.

4. Services

4.1 Platform Access

CASCADE provides sales intelligence services including conversation analysis, behavioral scoring, deal progression tracking, seller calibration, between-call decay analysis, buyer psychology profiling, AI-powered coaching through Shannon, and pipeline management tools.

4.2 MCP Integration

CASCADE is available as an MCP-compliant tool server. MCP access requires OAuth 2.0 authentication and operates within the same permission boundaries as the authenticated user.

4.3 Shannon AI Coaching

Shannon provides AI-generated coaching, analysis, and recommendations. Shannon's outputs are informational and advisory — they do not constitute professional advice. FBED Labs does not guarantee the accuracy, completeness, or suitability of Shannon's outputs for any particular purpose.

4.4 Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. We are not liable for temporary unavailability caused by circumstances beyond our reasonable control.

5. Billing and Payment

5.1 Subscription Plans

CASCADE operates on a usage-based subscription model. Plan details, pricing, and included compute budgets are presented at the time of subscription and may be updated with 30 days' written notice.

5.2 Usage-Based Billing

Each plan includes a monthly compute allocation. When the allocation is consumed, Clients may purchase prepaid top-ups. Auto-reload is available and configurable with a monthly spend cap.

5.3 Payment Processing

Payments are processed through Stripe. All fees are quoted exclusive of applicable taxes unless stated otherwise.

5.4 Refunds

Prepaid compute top-ups are non-refundable. If CASCADE is materially unavailable for a sustained period due to a fault on our part, we will provide a pro-rata credit upon request.

5.5 Non-Payment

Continued non-payment may result in suspension or termination of access. We will provide at least 14 days' notice before terminating an account for non-payment.

6. Data Ownership and Licensing

6.1 Client Data

The Client retains full ownership of all Client Data. FBED Labs does not claim ownership of any data uploaded, submitted, or generated by the Client.

6.2 License to Process

By using CASCADE, the Client grants FBED Labs a limited, non-exclusive license to process Client Data solely for the purpose of delivering the services described in these Terms.

6.3 Intelligence Data

Intelligence Data derived from Client Data is provided to the Client under their subscription. Upon termination, the Client may export their Intelligence Data.

6.4 Network Intelligence

The Client acknowledges that FBED Labs may derive Network Intelligence from anonymized, aggregated Client Data. Network Intelligence is owned by FBED Labs. No individual Client or deal is identifiable within Network Intelligence.

6.5 Feedback

If the Client provides suggestions, feature requests, or other feedback, FBED Labs may use that feedback without restriction or obligation.

7. Acceptable Use

7.1 Permitted Use

CASCADE is provided for lawful B2B sales intelligence purposes.

7.2 Prohibited Use

You may not: process data you do not have the right to analyze; attempt to access other Clients' data; reverse-engineer the platform; use CASCADE to develop a competing product; resell access without authorization; scrape data beyond the provided API and MCP interfaces; use CASCADE in violation of applicable laws; or attempt to circumvent security controls.

7.3 MCP-Specific Restrictions

Connected AI clients must not access data outside the authenticated user's scope, store CASCADE responses beyond what is necessary, or use tool responses to train AI models.

8. Intellectual Property

CASCADE, including its software, algorithms, scoring models, calibration frameworks, Shannon's coaching architecture, the ring system, behavioral endpoint definitions, user interfaces, and documentation, is the property of FBED Labs. These Terms do not transfer any intellectual property rights to the Client except the limited license to use the service during the subscription term.

CASCADE, Shannon, and associated logos are trademarks of FBED Labs.

9. Confidentiality

Each party will protect the other's confidential information with at least reasonable care. Confidential information includes Client Data, CASCADE's proprietary technology, and pricing terms. Exceptions apply to publicly available information, independently developed information, and legally compelled disclosures.

10. Limitation of Liability

CASCADE provides sales intelligence and coaching based on analysis of conversation data and behavioral patterns. CASCADE does not guarantee any particular sales outcome. To the maximum extent permitted by law, FBED Labs' total aggregate liability shall not exceed the total fees paid by the Client in the twelve months preceding the claim. FBED Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by applicable law.

11. Indemnification

The Client agrees to indemnify and hold harmless FBED Labs from claims arising from breach of these Terms, violation of applicable laws, Client Data that infringes third-party rights, or unauthorized use by the Client or its Authorized Users.

12. Term and Termination

The Client may terminate at any time by cancelling their subscription. We may suspend or terminate access for breach of these Terms, legal obligation, or inactivity exceeding 12 months. Upon termination, the Client may request data export within 30 days. Client Data is deleted within 90 days, subject to our Privacy Policy.

13. Changes to These Terms

Material changes will be communicated via email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.

14. General Provisions

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. These Terms, together with our Privacy Policy, constitute the entire agreement between the parties. If any provision is found unenforceable, the remaining provisions continue in full force.
